Job Description

Responsibilities:

 

  • Assist the Company Secretary in general management and administration of the Group Corporate Secretarial department, as well as plan and control through the formulation and maintenance of system, procedures and practice
  • Assist the Company Secretary in overseeing day-to-day operations of the department pertaining to Board, Shareholders, and Board Committee matters
  • Prepare and review documents and resolutions appropriately and expediently as and when required
  • Ability to draft Board resolutions and minutes of meetings of the Board or Board Committees or shareholders of the Group
  • Advising the Board on its obligatory requirements to disclose material information to the shareholders and financial markets
  • Ensure high standards of governance by keeping abreast with the latest developments in corporate governance, changes in the legal and regulatory framework international best practices
  • Ensure compliance with the principles and recommendations of the Corporate Governance Code (“CG Code”), Main Market Listing Requirements of Bursa Malaysia Securities Berhad (“Listing Requirements”), Companies Act and relevant securities laws governing the Group and informing the Board of any potential non-compliance
  • Provide, review and verify corporate secretarial support or information for Annual Report or corporate exercises including ensuring accuracy of the information or documents or advice provided and/or compliance with all relevant statutory requirements
  • Liaison with internal or external stakeholders and regulatory authorities
  • Supervise, support and provide guidance to subordinates

 

Requirements:

 

  • ICSA qualified professional with at least 8 years’ experience in corporate secretarial practice, preferably have the experience in a public-listed company
  • Good knowledge of Companies Act, Companies Commission Malaysia requirements, Listing Requirements, CG Code  and other relevant Securities Commission guidelines
  • Strong command of written and spoken English
  • Good interpersonal skills with ability to lead a team and to interact with people at all levels
  • A good team player, proactive, resourceful, meticulous and able to work independently
